Terms of Service

Review draft · October 20, 2026 · Not an operative agreement. Liability, governing-law and other terms below require legal review and agreement before adoption. A separately signed pilot agreement controls if it conflicts with general terms.

Operator and service

Rialto is a construction estimating software brand operated by Tomasz Jezak, an individual, not an incorporated company. It is not a UC San Diego service. Contact tomasz@userialto.com. Rialto assists with project documents, AI takeoffs, pricing-library matching, estimates and chat. Features may change; marketing examples are not a commitment that every depicted workflow is enabled. Vendor RFQ/email delivery and bid-proposal workflows are not enabled in the reviewed dedicated-customer build.

Accounts and authority

You must be an adult authorized to use Rialto for your organization and to submit its information. Keep credentials private and notify us of suspected misuse. Upload only material you have permission to process using Rialto and its disclosed providers, including permission under owner, general-contractor, architect and bid-document confidentiality requirements. Do not share one account to bypass access controls.

Your data and limited permission

You keep ownership of your project documents, drawings, specifications, pricing databases, messages and other inputs. You give the operator permission to host, copy, transmit and process that information to provide, support and secure the service, comply with law, and improve Rialto as disclosed below, subject to your choices and any signed customer agreement. This does not transfer ownership or grant a right to sell your confidential data. As between you and the operator, you may use generated project outputs; that does not guarantee uniqueness, copyright protection, accuracy or freedom from third-party rights. Rialto retains its software and pre-existing intellectual property.

Confidentiality and AI providers

We propose to treat nonpublic project files, customer pricing and business communications as confidential, use reasonable care, and limit access and disclosure to providing and improving the service as disclosed here, subject to your choices and signed agreements, authorized support, approved providers and legal requirements. Confidentiality does not cover information already public without a breach, independently developed without the confidential information, or lawfully received without a confidentiality duty. Where legally allowed, we will notify you of compelled disclosure and seek to limit it. Specific enforceable obligations should be set out in a signed agreement.

We may use content you upload and the corrections you make (for example, reviewed takeoff quantities and measurement edits) to improve Rialto, including training and evaluating our own models. Contact tomasz@userialto.com to ask that your project data not be used for this.

Third-party AI model providers process relevant document content, messages, images, pricing-library information and tool results to generate takeoffs and answers; this is not local-only processing. We have opted out of model training with our AI model providers where they offer that choice; providers process content under their own terms and may retain it for limited periods, for example for safety and abuse monitoring. These provider opt-outs are separate from Rialto’s own model-improvement use described above. This draft does not promise provider no-training or zero retention. Contact us for current provider details and applicable terms, and agree an acceptable processing arrangement before confidential use. See our Privacy Policy draft and provider list.

Professional review is essential

AI output can be wrong, incomplete or misleading. A qualified estimator must independently check drawings, addenda, scale, quantities, scope, assemblies, pricing, labor factors, exclusions and final totals before bidding, buying, contracting or relying on any output. Rialto does not provide engineering, architectural, legal or licensed construction advice; it does not guarantee code compliance, bid completeness, profitability or a successful award. You remain responsible for professional judgment, project decisions and communications you send. Do not rely on output as the only record of a bid or project.

Acceptable use

Do not use Rialto unlawfully; violate privacy, intellectual-property, contract or export-control obligations; upload malware; attempt to access other accounts; bypass security or provider restrictions; or disrupt the service. Do not submit highly sensitive or specially regulated data without a separately approved arrangement. We may restrict access to address a credible security, misuse or legal risk and, where practicable, explain the reason and provide a way to retrieve your information.

Pilot, availability and termination

The proposed Nevell pilot is free; any later paid service requires a separate written offer accepted by the customer. No automatic paid conversion is authorized by this draft. Pilot access is experimental, as-is and as-available, with no uptime or support-time guarantee. Either party may end a pilot by notice under its signed agreement. Keep your own originals and verify available exports before relying on continued access. Account closure or project deletion does not automatically erase all backups, logs, account-level data or AI-provider records; deletion scope and any deadlines must be agreed separately.

No warranties

To the extent permitted by law, the service and its outputs are provided “as is” and “as available,” without express or implied warranties, including merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness or uninterrupted availability. Nothing in an adopted agreement should exclude rights or responsibilities that law does not allow the parties to exclude.

Limitation of liability — not yet agreed

[Lawyer and parties to agree: a reasonable aggregate liability cap, treatment of a free pilot, excluded indirect/consequential losses, and carve-outs for confidentiality, data protection, fraud, willful misconduct and liabilities that cannot lawfully be limited.] No amount or waiver is selected by this draft.

Governing law and disputes — not yet agreed

[Proposed: California law, excluding conflict-of-laws rules; appropriate California court venue and an initial good-faith discussion process. Lawyer and parties to confirm venue and mandatory-law exceptions.] This draft does not impose arbitration or a class-action waiver.

Changes, precedence and contact

Before adoption, confirm the acceptance process, effective date and how material changes are notified. A signed customer agreement should specify precedence and changes; a website edit should not silently override a signed NDA or pilot. Privacy and deletion questions: tomasz@userialto.com.
